Freelance M&A Integration and Disentanglement Program Director (ZZP)
Job Description:
In this role you directly contribute to the realization of Philips becoming a leading Health Tech player by executing strategic projects that are related to portfolio optimization (Mergers & Acquisitions and Divestments). You have the opportunity to prepare and lead the post-merger integration and disentanglement activities for acquisitions and divestment to ensure a smooth transition to or from Royal Philips. Utilizing the skills you have developed as an experienced project/program manager with business background, you will directly support and execute the key decisions being made at the highest levels of the organization.
You are responsible for:
As our Integration and Disentanglement Program Director, you will participate in the deal team of an M&A project with respect to integration or disentanglement as an integration/disentanglement expert.
The Integration and Disentanglement Program Director is also responsible for:
Setting up & resourcing the integration and disentanglement project structure (inc. external advisors) and managing expert teams for all functions and market/country teams involved;
Responsible for delivering integration strategy (Platinum) and disentanglement strategy (Seperation Memorandum) and project execution;
Member of the acquisitions/divestment deal-team to support realization of a transaction in all its facets;
Managing integration & disentanglement budgets, data room activities (divestments) including Midaxo tool;
Independently managing smaller divestment projects ie; carving out a small business, factory or service activity from the Philips infrastructure and establishing it as a standalone company (capable of successfully operating independently);
Within the broader SMAP team, support M&A Due Diligence efforts or advise on Strategy Projects where applicable;
Ensure the granular planning and execution of the value creation among work streams;
Ensure value creation and business objectives of the acquired targets together with the business clusters;
Partner with and coach the Business Integration Leader in PMI methodology used to define and deliver post-merger integration strategy for the RFA;
Partner and coach the Business Disentanglement Lead on disentanglement objectives and leveraging the Philips organization;
Monitor business and financial performance and take all necessary corrective actions to ensure that the overall business and financial performance targets are met by the applicable business during the integration/disentanglement process;
Providing aftercare of the acquired business and identification of additional value creation opportunities;
Providing aftercare of a divestment and negotiation of (transitional) service agreements;
Act as an intermediary between the M&A Functional Experts and the acquired/divested business and sector, country, and corporate functions;
Drive and lead the activities aimed at delivering continuous improvement across the projects;
Contribute to the M&A Integration and Disentanglement Competence Centre by sharing experiences, best practices and lessons learned;

The SMAP team (Strategy, Mergers & Acquisitions and Partnerships) structured around 3 hubs located in Amsterdam, Boston and Shanghai. The M&A team has global responsibility for all Philips M&A and Divestment activities and consists of top-level M&A specialists with wide ranging backgrounds, nationalities and competencies. This position is based in Amsterdam.
In this role, you should have the following skills and experience:
You already have hands-on experience and knowledge of at least 2 different commercial and/or operational roles (cross functional) and overall business experience of at least 8-10 years.
Besides that, you have:
Master’s degree, MBA, or other post graduate work or relevant work experience required;
Experienced project leader, successfully managed multiple projects (5-8) in varying stages at the same time, who is capable of operating on senior management levels, able to create strong, effective multi-disciplinary teams and lead them throughout the project;
Drive for results, and focus on customers to get the deal done;
Deliver in a disciplined manner the project as per agreed time-lines while being able to identify critical issues in all functions and negotiate & deal with all experts involved to resolve the matter;
Strong team player with a pragmatic approach and good communication and negotiation skills;
Stress resistant, task driven inc. execution of deal related administration;
Strong leader, coaching, analytical, problem solving and troubleshooting skills;
Excellent communications and interpersonal skills;
Strong personal presence and awareness; must be able to operate up to three levels above and below current grade level;
High level of empathy and a strong sense for cultural differences and how to bridge them;
High level of integrity;
Ability to prioritize work based upon changing demands, solid sense for operational priorities;

Experience in a post-merger integration or disentanglements is a plus;
Worked successfully within differing business cultures; a variety of country cultures a plus;
Successfully managed through influence rather than direct management;
Strong business acumen, Project Management and Six Sigma experience / certification a plus;
Lean experience /certification a plus;
Willingness to travel (project dependent but can be up to 50% at times; average over a year 25%); willingness to have flexible work schedule depending on project geography (early morning/late evenings etc.)
