Terms & Conditions17.12.2020
END USER LICENSE AGREEMENT
This End User License Agreement (EULA) is a legally binding agreement that governs your use of the Philips-branded twago web-based software platform (Philips TMS) and any related documentation (Documentation). Twago, including Philips TMS, is owned, operated and maintained by Randstad Sourceright EMEA B.V., Diemermere 25, 1112TC Diemen, a member of the Randstad Group (Licensor). By clicking “Accept” or otherwise proceeding to access Philips TMS, you agree that your access and use of Philips TMS will be governed by the terms of this EULA. Licensor reserves the right to modify, to amend or to redraft this EULA at any time in its sole discretion
Philips TMS facilitates the matching of clients needing services with contractors who offer services. Licensor does not itself act as an intermediary for any negotiations or agreements between clients and freelancers/contractors. The particular Philips TMS instance of Twago to which you will have access hereunder relates solely to positions and projects at Philips (Philips International B.V.) (Customer). Any engagement by Philips for your services is the subject of a separate agreement or agreements between Philips and you (or among Philips, you and a third party) and will not involve Licensor.
Use of the Philips TMS for Philips Positions
Philips has engaged Randstad Sourceright (RSR) to act as managed service provider (MSP) to coordinate and administer Philips's use of flexible labour. In connection with these MSP services, MSP will be using a third-party vendor management system (VMS).
Philips regularly enters open work orders into the VMS (Open Orders). Certain of these Open Orders will then flow from the VMS into the Philips TMS platform. When you enter Philips TMS, you will have the opportunity to browse the Open Orders that are made available to you. You will then be able to apply for positions for which you have both interest and the required qualifications. MSP will perform vetting of all applications, and may decide to pass your application along to Philips.
Contracting and commercial conditions
You will not be charged an entrance fee for the use of the Philips TMS.
As noted above, if your application is selected by Philips to fulfil an Open Order, you will not be engaged by MSP or Licensor. Rather, in most cases you will be engaged by a third party that is a Philips-approved supplier within Philips's flexible labour program (Broker). The commercial terms and conditions of your engagement will be the subject of a separate agreement between you and the Broker.
Note, however, that before such engagement can be finalised certain control measures will be required to ensure that the performance of the work by you as an independent contractor will be completed in a sufficiently independent way. These control measures have been introduced because of the applicable law in the respective country. If you are pre-selected by Philips and pass the required control measures, you will be invited to offer MSP your Freelancer fee (per hour/ lump sum). Based on your offered amount, MSP will agree with you on a final fee that you will be allowed to invoice to the Broker. This final fee will take into account a markup percentage that MSP and Philips have agreed upon.
Grant of Limited License
Licensor hereby grants you a personal, temporary, revocable, royalty-free, nonexclusive, nonsub-licensable and non-transferable license to use Philips TMS and the Documentation solely in connection with your potential engagement to fill Philips's Open Orders, subject to the terms, conditions and restrictions set forth in this EULA. This is a limited license. All other rights and ownership with respect to Philips TMS (including without limitation copyrights) reside with Licensor.
In order to use Philips TMS, you must complete the online registration process and use the activation link in the verification e-mail sent to you by Licensor. With your registration, you attest that you are a natural person at least 18 years old and legally competent. You represent and warrant that all of the information you provide in connection with the registration is truthful, accurate and complete.

In case of loss of the login information, or in case of suspicion that a third party has knowledge of the information or is making use of your account, you are obliged to inform Licensor about this immediately and to change your login information.

Right of withdrawal
You have the right to withdraw from this contract within 14 days without giving any reason. To exercise the right of withdrawal, you must inform us
Randstad Sourceright EMEA B.V.
of your decision to withdraw from this contract by an unequivocal statement (e.g. a letter sent by post, fax or e-mail). You may use the attached model withdrawal form, but it is not obligatory. To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.
Effects of withdrawal
If you withdraw from this contract, we shall reimburse to you all payments received from you, including the costs of delivery (with the exception of the supplementary costs resulting from your choice of a type of delivery other than the least expensive type of standard delivery offered by us), without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to withdraw from this contract. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement. If you requested to begin the performance of services during the withdrawal period, you shall pay us an amount which is in proportion to what has been provided until you have communicated us your withdrawal from this contract, in comparison with the full coverage of the contract.
Termination of the right to withdraw
The consumer hereby agrees that the provider commences work prior to the 14 day right of withdrawal period, and therefore acknowledges that the right to terminate the agreement is relinquished at the point of purchase.
The right of withdrawal as per the § 312 g II BGB is not applicable to contracts regarding the delivery of made-to-order goods involving personalized production, that are not prefabricated.

The destruction requirement applies to copies in all forms, partial and complete, in all types of media and computer memory, and whether or not modified or merged into other materials. Termination of this EULA will not limit Licensor from pursuing any other remedies that may be available, including injunctive relief.

This does not apply for liability in the event of intent or gross negliegence, due to injury to life, body or health, due to guarantee or due to culpable breach of significant contractual obligations (German: Kardinalpflichten). Neither party will be liable for any damages based on actions or occurrences that occurred more than one year before the other party provides notice of the claim.
